TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of PropertyCine (the “Service”), operated by Braincode Innovations FZE, together with its parents, subsidiaries, affiliates, licensors, successors, and assigns (“Company,” “we,” “us,” or “our”).

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. PURPOSE OF SERVICE & NO RELIANCE

PropertyCine is a software platform that generates AI-assisted video and media content.

You expressly acknowledge and agree that:

  • Outputs are automatically generated
  • Outputs may contain errors, omissions, or inaccuracies
  • Outputs are not guaranteed to be compliant with advertising, real-estate, platform, or regulatory requirements
  • The Service does not provide legal, marketing, brokerage, or professional advice

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, APPROVING, AND USING ANY OUTPUT.

2. ELIGIBILITY

You must be at least 18 years old and legally capable of entering a binding agreement. If using the Service on behalf of an entity, you represent that you have full authority to bind that entity.

3. ACCOUNTS & ACCESS CONTROL

We may, at our sole discretion:

  • Approve or deny registrations
  • Suspend or terminate accounts
  • Revoke credits or disable outputs
  • Restrict features or integrations

You are responsible for all activity under your account.

4. USER CONTENT & LICENSE

4.1 Ownership & License Grant

You retain ownership of content you upload (“User Content”).

You grant the Company a worldwide, irrevocable, royalty-free, sublicensable license to host, process, transform, analyze, store, reproduce, and generate derivative works from User Content for:

  • Operating the Service
  • Improving systems
  • Security, compliance, and enforcement
  • Developing future features and services

This license survives account termination.

4.2 User Representations

You represent and warrant that:

  • You own or have lawful rights to all User Content
  • All required consents, permissions, and releases have been obtained
  • User Content does not infringe any third-party rights
  • User Content complies with all applicable laws and platform rules

ALL LIABILITY RELATED TO USER CONTENT RESTS WITH YOU.

5. AI OUTPUTS & NON-EXCLUSIVITY

  • Outputs are generated algorithmically
  • Similar or identical outputs may be generated for other users
  • No exclusivity, uniqueness, or copyrightability is guaranteed

The Company does not guarantee that outputs are eligible for copyright protection in any jurisdiction.

You assume all risk arising from output use.

6. PROHIBITED USES

You may not:

  • Misrepresent AI-generated outputs as human-created
  • Use the Service to train or benchmark competing systems
  • Scrape, reverse engineer, or clone the Service
  • Resell, sublicense, or white-label the Service or outputs
  • Use the Service in a manner that exposes the Company to legal or regulatory risk

We determine violations at our sole discretion.

7. PAYMENTS, CREDITS & NO REFUNDS

  • Credits are prepaid and non-transferable
  • Credits may expire as disclosed at the time of purchase or on the pricing page
  • NO REFUNDS, except where required by law
  • Quality dissatisfaction or business loss does not entitle refunds

8. THIRD-PARTY SERVICES & YOUTUBE INTEGRATION

8.1 General Third-Party Services

The Service relies on third-party infrastructure, APIs, and AI providers. We are not responsible for third-party outages, changes, enforcement actions, or limitations.

8.2 YouTube Integration

If you choose to connect your YouTube account, you authorize PropertyCine to use YouTube API Services to upload content on your behalf.

You acknowledge that:

  • YouTube governs your account under its own terms and policies
  • We are not responsible for strikes, takedowns, demonetization, or account penalties imposed by YouTube
  • You remain solely responsible for content published to YouTube

8.3 YouTube API and Google Data Acknowledgement

You acknowledge and agree that:

  • PropertyCine uses Google API Services, including the YouTube Data API, solely to provide functionality for uploading videos to your YouTube channel when you choose to connect your account

  • By connecting your YouTube account via Google OAuth, you authorize PropertyCine to access limited Google user data permitted by the API, which may include your YouTube channel name, channel identifier, and permissions to upload video content on your behalf

  • Use of Google API Services is governed by:

  • PropertyCine does not store your YouTube login credentials and only stores OAuth tokens necessary to perform authorized actions

  • You remain solely responsible for all actions taken on your YouTube account and compliance with YouTube policies

  • PropertyCine does not sell, rent, or share Google user data except as necessary to provide the Service or as legally required

9. TERMINATION

We may terminate or suspend access at any time, for convenience or for cause, with or without notice, and without liability. Unused credits are forfeited upon termination.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR AVAILABILITY

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NO INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • NO LIABILITY FOR LOST PROFITS, DATA, DEALS, OR REPUTATION

TOTAL LIABILITY SHALL NOT EXCEED USD $100 OR THE AMOUNT PAID IN THE LAST THREE (3) MONTHS, WHICHEVER IS LOWER.

12. INDEMNIFICATION

You agree to fully indemnify and hold harmless the Company and its affiliates from any claims arising from:

  • User Content
  • Output usage
  • Platform enforcement actions
  • Legal or regulatory violations
  • Third-party disputes

13. GOVERNING LAW & DISPUTES

  • Governing Law: United Arab Emirates
  • Arbitration: DIAC – Dubai
  • No class actions
  • Claims must be brought within one (1) year

14. MODIFICATIONS

We may modify these Terms at any time. Continued use constitutes acceptance.
